Aiotheme provides user interface templates and corporate software components (hereinafter, "the Materials") intended exclusively for integration into ERP, CRM, and B2B platforms of large corporations. The Materials are delivered under a non-exclusive, non-transferable license.
The client undertakes to: (a) use the Materials solely in their internal systems or those of their controlled subsidiaries; (b) not redistribute, sublicense, or resell the Materials as a standalone product; (c) maintain the confidentiality of access credentials to the component repository; (d) immediately notify of any unauthorized use of which they become aware.
All intellectual property rights in the Materials, including source code, visual design, technical documentation, and associated trademarks, belong to Aiotheme or its licensors. The client acquires no ownership rights in the Materials, except for the usage license defined in clause 1.
The Materials are provided "as is," without warranty of uninterrupted or error-free operation. Aiotheme shall not be liable for indirect damages, data loss, lost profits, or business interruption arising from the use or inability to use the Materials. Aiotheme's total liability shall in no event exceed the amount paid by the client in the last 12 months.
The license takes effect on the date of download or delivery of the Materials and remains in force until terminated by either party. The client may terminate it at any time by ceasing to use the Materials. Aiotheme may terminate it immediately if the client breaches any of the established obligations. Upon termination, the client must destroy all copies of the Materials in their possession.
Aiotheme reserves the right to modify these terms at any time. Modifications will be communicated to the client by email at least 15 days in advance. Continued use of the Materials after the modifications take effect constitutes acceptance thereof.
